By checking the boxes and submitting the form below, you agree to these interim, binding terms until a definitive long-form agreement is signed or your submission is declined.
Purpose: To allow The 420 Review to evaluate, plan, and begin work with you while we finalize a full contract.
Term: Up to 90 days from acceptance, or earlier upon execution of a definitive agreement or written decline. Either party may terminate on 7 days written notice during the interim term.
Exclusivity (recordings): During the Interim Term, you will not enter a recording or distribution deal for new commercial releases with another label without our written consent.
Ownership (masters) moving forward: You retain ownership of your pre-existing works. All new master sound recordings created during the Interim Term for release through The 420 Review, and any masters released by The 420 Review, are and will be owned by The 420 Review as owner of the master recordings. Unless otherwise agreed in writing, you retain ownership of underlying musical compositions (publishing).
License & use: You grant The 420 Review an exclusive, worldwide license during the Interim Term to review and prepare the masters for commercial release (including private sharing with partners for evaluation, pre-save setup, and supply to distributors). No commercial exploitation will occur without your written approval or a definitive agreement, except for activities reasonably necessary to prepare for release.
Compensation: No advances or royalties are due under these interim terms unless separately agreed in writing. Royalties, advances, and splits will be defined in the definitive agreement.
Confidentiality: Both parties will keep non-public materials and communications confidential, except as needed for evaluation and planning.
Warranties: You warrant you own or control the rights to submitted materials; your submissions do not infringe others rights; and you are at least 18 years old (or have guardian consent).
Independent contractor: You are not an employee or partner of the label during the Interim Term.
Governing law & venue: To be specified in the definitive agreement. Parties agree to negotiate in good faith.
Esignature consent: You consent to use of electronic records and electronic signatures and agree that your typed name constitutes your signature.
Entire understanding: These interim terms constitute the entire understanding regarding the Interim Term and supersede prior discussions on this limited subject.
